Terms and Conditions

These Terms and Conditions (“Terms”) set out the legal framework for projects delivered by {{COMPANY_LEGAL_NAME}} (“Supplier”) to its clients (“Client”). They apply to all proposals, statements of work, and change requests relating to cross-platform solutions, product design, or mobile app deployment services.
1. Definitions
“Deliverables” means tangible outputs such as prototypes, source code, documentation, UX/UI optimisation assets, and brand guidelines. “Services” means the activities described in an agreed statement of work.
2. Engagement process
Services commence after both parties sign a proposal or statement of work describing scope, sprint cadence, acceptance criteria, and project fees. Discovery workshops may precede execution to refine concept development and mobile app architecture.
3. Supplier responsibilities
- Deliver Services with reasonable skill and care, aligned with industry standards for agile development methodologies.
- Assign qualified personnel with experience in app testing and QA, API integration, and scalable mobile applications.
- Protect Client confidential information, data, and intellectual property.
4. Client responsibilities
- Provide timely access to stakeholders, brand assets, and technical systems required for full-stack mobile development.
- Review Deliverables within agreed timelines and provide consolidated feedback.
- Ensure all inputs supplied to the Supplier do not infringe third-party rights or applicable laws.
5. Fees and payment
Fees and payment schedules are detailed in each statement of work. Unless otherwise specified, invoices are payable within 14 days of receipt. Late payments may accrue interest at the Bank of England base rate plus 4% per annum.
6. Intellectual property
Ownership of Deliverables transfers to the Client upon full payment of fees, excluding Supplier pre-existing materials or tools used to support progressive web apps (PWA), voice recognition integration, or prototype development accelerators. The Supplier grants the Client a licence to use such materials as necessary to benefit from the Deliverables.
7. Change control
Any change to scope, budget, or timelines must be documented in writing. The Supplier will assess impact on sprint velocity and provide updated estimates for client approval.
8. Confidentiality
Both parties agree to keep confidential information secure and only use it for the purpose of delivering the Services. Obligations remain in effect for five (5) years after contract termination, unless law requires disclosure.
9. Data protection
The parties will comply with UK GDPR and Data Protection Act 2018. Any processing of personal data in the mobile app development lifecycle is governed by a separate data processing agreement, referencing security controls such as encryption and data protection and mobile app security audits.
10. Warranties and limitations
The Supplier warrants that Deliverables will materially conform to agreed specifications for thirty (30) days after acceptance. Except as expressly stated, all other warranties are excluded to the fullest extent permitted by law. Liability for indirect or consequential loss is excluded; the Supplier’s total liability is limited to fees paid or payable under the relevant statement of work.
11. Termination
Either party may terminate a statement of work by notice if the other party commits a material breach and fails to remedy it within fourteen (14) days, or becomes insolvent. Fees for work-in-progress remain payable.
12. Non-solicitation
To protect project continuity, neither party will solicit or hire the other’s personnel directly involved in the Services during the engagement and for six (6) months after completion, unless otherwise agreed in writing.
13. Governing law
These Terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
